Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 2, 2025, Sandra Wallach, the Chief Financial Officer of Amprius Technologies, Inc. (the “Company”) informed the Company’s Board of Directors (the “Board”) of her intention to retire from her position, effective upon the appointment of her successor, which is expected to occur by or before the end of the fourth quarter of 2025. Ms. Wallach’s decision to retire is not the result of any disagreement regarding any matter relating to the Company’s operations, policies or practices. Ms. Wallach has informed the Board that, following her retirement as Chief Financial Officer, she intends to continue to be involved with the Company in a consulting or other capacity to support a smooth transition. The Board has commenced a process to identify and recruit a successor to serve as the Company’s Chief Financial Officer.
